Terms of Service

1. Acceptance

These Terms of Service ("Terms") form a binding agreement between you and Knightbyrd Tech LLC ("Knightbyrd," "we," or "us") governing your use of the PhoxFin learning product (the "Service"), including the web application at phoxfin.com and any related features. By creating an account or using the Service, you accept these Terms.

2. Eligibility + account

You must be at least 18 years old (or the age of majority in your jurisdiction) to create a PhoxFin account. The account holder is the legal parent or guardian of the children added to the family. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activity that occurs under your account, including your children's use of the Service
• Providing accurate information when creating the account
• Ensuring children added to your account are your legal dependents or that you have authority to act as their guardian online

3. The free trial

PhoxFin offers a free trial of 14 days, capped at 5 lesson completions across the family. The trial period and lesson cap apply whichever comes first. No payment is collected during the free trial. To continue using the Service after the trial, you must select a paid plan. You may cancel before the trial ends from the dashboard without charge.

4. Subscriptions + payment

Paid plans are billed via Stripe in advance, on a recurring basis (monthly or annually depending on the plan selected). Plans renew automatically until you cancel. You can cancel from the dashboard at any time; the cancellation takes effect at the end of the current billing period and is not pro-rated. Refunds are not generally offered for partial billing periods but may be granted on a case-by-case basis by emailing billing@phoxfin.com.

5. Acceptable use

You agree not to:

• Use the Service for any unlawful purpose
• Attempt to gain unauthorized access to PhoxFin systems or other accounts
• Resell, sublicense, or commercially exploit the Service without our written permission
• Reverse-engineer or attempt to extract the source code of any part of the Service
• Use the Service to send abusive, harassing, or illegal content
• Interfere with the operation of the Service (e.g., automated scraping, denial-of-service attempts)

6. Children + parental responsibility

You are responsible for supervising your child's use of the Service. The Service is designed for kid-supervised use (the parent-paired learning track is part of the product). You consent to our collection and use of your child's data as described in our Privacy Policy, which is incorporated into these Terms by reference.

7. Content + intellectual property

All lesson content, game design, source code, Phoxyn mascot, trademarks, and other materials provided through the Service are the property of Knightbyrd Tech LLC. You receive a limited, non-exclusive, non-transferable license to use the Service for personal, non-commercial educational purposes only. You retain ownership of any reflections, content, or text your child submits through the AI-graded reflection feature.

8. Certificates + credentials

PhoxFin issues a Financial Readiness Certificate to students who complete the spiral curriculum and meet the published mastery thresholds. The certificate is issued by Knightbyrd Tech LLC and is verifiable via a public verification URL. The certificate is not an accredited academic credential and is intended as a supplemental indicator of demonstrated financial literacy.

9. Service availability + changes

We provide the Service on an "as-is" basis. We do not guarantee uninterrupted availability and may modify, suspend, or discontinue any feature at any time, including the lesson catalog, Smart Break games, or related features. Material changes affecting paid subscribers will be communicated by email in advance where reasonable.

10. Disclaimer of warranties

The Service is provided "as-is" and "as-available," without warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. PhoxFin's educational content is for general financial literacy purposes and does not constitute legal, financial, tax, or investment advice.

11. Limitation of liability

To the maximum extent permitted by law, Knightbyrd Tech LLC shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising from your use of the Service. Our total cumulative liability for any claims arising from the Service is capped at the amount you paid us in the 12 months preceding the claim, or $100, whichever is greater.

12. Termination

You may cancel your account at any time from the dashboard. We may suspend or terminate your account for violation of these Terms or for any reason with reasonable notice. Upon termination, your access to the Service ends and we delete account data per our Privacy Policy.

13. Governing law + disputes

These Terms are governed by the laws of the State of South Carolina, USA, without regard to conflict-of-laws principles. Any dispute arising under these Terms shall be resolved exclusively in the state or federal courts located in South Carolina. You and Knightbyrd Tech LLC each agree to bring claims only in your or its individual capacity, not as part of any class action.

14. Changes to these Terms

We may update these Terms from time to time. Material changes will be communicated by email to account holders before they take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
